There is no formal acceptance of the resignation of a member of the Board of Directors by the General Meeting. A member of the Board of Directors ‘simply’ resigns and it is generally the responsibility of the remaining members of the Board of Directors to submit a replacement proposal to the General Meeting or, if necessary, to provide a brief explanation as to why the Board of Directors remains in its reduced size.
